Item 5.05.

Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

On May 4, 2017, the board of directors of Altimmune, Inc. (the “Company”) adopted a new Code of Business Conduct and Ethics (the “Code of Ethics”) applicable to the Company’s directors, officers, employees and consultants. The new code generally addresses the same matters as the former code in effect with respect to PharmAthene, Inc. (“PharmAthene”) prior to the completion of the Mergers announced in the Company’s Current Report on Form 8-K filed on May 8, 2017. The Code of Ethics is available on the Company’s website at www.altimmune.com, under “Investors – Corporate Governance.”
